Terms and Conditions

General Information These terms and conditions of the web service ("Terms and Conditions") are applied to Inderes Oyj’s ("Inderes" or "Service Provider") Videosync service and teleconference service ("Service"). Any natural or legal person that uses the Service ("User" or “you”) accepts that they are bound by the Terms and Conditions to be able to use the Service. The content of the Service is determined by the service descriptions found on the website of the Service or otherwise presented in connection with ordering or using the Service. Usage of the Service is forbidden if the User does not agree to the Terms and Conditions or any part of them. The Service is intended only for informative purposes. The Services have no guarantee. Any content presented in the Service does not form legally binding advice, instructions or guarantee. The Service Provider or its licensor has right of ownership, copyright and all other intellectual property rights to the materials in the Service, excluding content the User publishes in the Service. When quoting material contained in the Service, mandatory legislation permitting, the User is obliged to mention the source as required by good practice. The Service Provider grants the User rights to use the Service and the material contained therein. The Service Provider grants the User the right to view, use and download materials contained in the Service and print them only for the User's own, personal and non-commercial use. Granting of such User rights is not an indication of a transfer of the right of ownership to the material and any copies. However, the User’s rights do not include: (i) publicly performing or publicly displaying the material in the Service; (ii) modifying or otherwise making any derivative uses of the Service or any portion thereof; (iii) using any data mining, robots or similar data gathering or extraction methods; (iv) downloading (other than page caching) of any portion of the Service or any information contained therein; unless the information is clearly marked as a downloadable (v) reverse engineering or accessing the Service in order to build a competitive product or service; or (vi) editing material in the Service in any way, nor to copy, present publicly or in any other way publish the material or use it for commercial purposes. Conclusion of the Contract and registration The Service may be available to the User without registration or they may require registration. Some of the service sections may require registration and/or a separate order. If a User creates an account or use another service to register to the Service, the User agrees to maintain the security of the password and accept all risks of unauthorized access to any data or other information the User provides to the Service. If the User discovers or suspects any Service security breaches, please let us know as soon as possible. By using the Service, the User undertakes to comply with the valid Terms and Conditions. When the User registers for the Service, they warrant that they have familiarized themself with these Terms and Conditions, is aware of the Terms and Conditions of the Service and undertake to comply with them. User IDs and passwords are personal and/or organization-specific and the User is not entitled to hand over or transfer them or the related right to use the Service to another person or organization without advance written consent from the Service Provider. The Service Provider may refuse to grant User rights to the Service without giving any reason or cancel a granted User right if the User has or is acting contrary to the Terms and Conditions, legislation or good practices. The User must notify the Service Provider without delay if the User's ID and password become known to a third party. The Service Provider has the right to shut down the User’s access to the Service immediately if the Service Provider has reason to suspect that User IDs and passwords to the Service have fallen in the hands of a third party or have gone missing. Use of the Service The Service may be used only for purposes in accordance with legislation, other official regulations and good practices. The Service may be used only in accordance with the Terms and Conditions valid at any given time. The Service and its contents may only be used for the User’s own, personal and non-commercial use. Functionality, changes and security of the Service The Service Provider tries to correct any interruptions to the Service within a reasonable period of time. The Service Provider does not, however, guarantee Service accuracy or that the Service is available to the User without interruptions. The Service Provider has the right to make changes that affect the content, technology and use of the Service. The Service Provider reserves the right to make changes at any time without notifying the User. The Service Provider has the right to stop producing the Service or parts thereof. The Service Provider notifies the User of shutting down a chargeable Service in advance within a reasonable period of time. The Service Provider tries to produce the Service with the highest possible level of cyber security. The User shall understand that the internet is not fully secure. The User is not allowed to use any devices of programs that can disrupt the functionality of the Service, nor complete any actions that considerably burden the structure of the Service (e.g. mass mailing), or disturb or process the software and functionalities of the Service. Handling of Personal Data The Service Provider applies currently valid legislation concerning handling of personal data and data security in its activities and handles Users’ data in accordance with the Terms and Conditions, as well as with the description file of the register and the privacy statement in accordance with applicable data protection legislation. Cookies The Service Provider uses cookies and other similar techniques in its Service to collect statistics on site traffic, evaluate Service quality, compile reports on Service activity for Inderes’ clients, provide other services relating to Service usage and to enable or make the use of the Service or parts of it on the site easier. A cookie is a small amount of data that the browser saves on the device for the browser to work. These cookies contain no personal data and are only an identification of the browser in question for tracking the service, with which the service saves browser history information of the browser in question. In detail, this website uses third-party services such as YouboraNPAW Suite. Data collected by cookies about your use of the Service (including your IP address) will be transmitted to and stored by Youbora NPAW Suite and other website analytics service providers, on behalf of Inderes. Also, Inderes or its affiliates may use third-party service providers to display advertisements across the internet. These service providers may use cookies to collect information about your visits to our Service in order to display ads while you are visiting other websites; this information cannot be used to identify you individually. Such information is anonymous; however, your IP address may be collected. The User can prevent the use of cookies and similar identification methods through their browser settings. In this case, the Service is not necessarily available in the same way as when cookies are permitted. User’s Content The Service allows a User to post, link and otherwise make available video, audio, image and livestream content. The User is responsible for the content it makes available to the Service, including its legality, reliability, and appropriateness. When the User posts, links or otherwise makes available content to the Service, the User grants Inderes the right and license to store and distribute the content on or through the Service. Inderes may format the User’s content for display throughout the Service, but Inderes will not edit or revise the substance of your content itself – and Inderes does not have the rights to use your content in any context other than the context determined by you in the Videosync administration interface. Aside from Inderes’ limited right to the User’s content, the User shall retain all of its rights to the content it makes available on or through the Service. The User can remove the content is has posted by deleting it. Once the User deletes its content, it will not appear on the Service, but copies of the deleted content may remain in Inderes’ system or backups for some period of time. Inderes will retain web server access logs for a maximum of six months and then delete them. The User may not make available on or through the Service any of the following: • Content that is libelous, defamatory, bigoted, fraudulent or deceptive; • Content that is illegal or unlawful, that would otherwise create liability; • Content that may infringe or violate any patent, trademark, trade secret, copyright, right of privacy, right of publicity or other intellectual or other right of any party; • Mass or repeated promotions, political campaigning or commercial messages directed at Users who do not follow you (SPAM); • Private information of any third party (e.g., addresses, phone numbers, email addresses, Social Security numbers and credit card numbers); and • Viruses, corrupted data or other harmful, disruptive or destructive files or code. Also, the User agrees that it will not do any of the following in connection with the Service or other Users: • Use the Service in any manner that could interfere with, disrupt, negatively affect or inhibit other Users from fully enjoying the Service or that could damage, disable, overburden or impair the functioning of the Service; • Impersonate or post on behalf of any person or entity or otherwise misrepresent your affiliation with a person or entity; • Collect any personal information about other Users, or intimidate, threaten, stalk or otherwise harass other Users of the Service; • Create an account or post any content if you are not over 13 years of age; and • Circumvent or attempt to circumvent any filtering, security measures, rate limits or other features designed to protect the Service, Users of the Service, or third parties. Third Party Services, Third Party Content and Hyperlinks From time to time, Inderes may provide you with links to third party websites or services that Inderes does not own or control. Your use of the Service may also include the use of applications that are developed or owned by a third party. Your use of such third party applications, websites, and services is governed by that third party’s own terms of service and privacy policies. Inderes encourages you to read the terms and conditions and privacy policy of any third party application, website or service that you visit or use. You may create a hyperlink to the Service. However, you may not use, frame or utilize framing techniques to enclose any of our trademarks, logos or other proprietary information without our express written consent. Inderes makes no claim or representation regarding, and accepts no responsibility for third party websites accessible by hyperlink from the Service or websites linking to the Service. When you leave the Service, you should be aware that these Terms and Conditions no longer govern. If there is any content on the Service from/by you, we don’t review, verify or authenticate it, and it may include inaccuracies or false information. We make no representations, warranties, or guarantees relating to the quality, suitability, truth, accuracy or completeness of any content contained in the Service. You acknowledge sole responsibility for and assume all risk arising from your use of or reliance on any content. Copyright Complaints Inderes takes intellectual property rights seriously and has adopted a policy of terminating, in appropriate circumstances and, at Inderes’ sole discretion, access to the Service for Users who are deemed to be repeating copyright infringements. Limitation of liability THE SERVICE AND ANY OTHER SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE ARE PROVIDED TO YOU ON AN AS IS OR AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. INDERES DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS (EXPRESS OR IMPLIED, ORAL OR WRITTEN) WITH RESPECT TO THE SERVICE AND CONTENT INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICE WHETHER ALLEGED TO ARISE BY OPERATION OF LAW, BY REASON OF CUSTOM OR USAGE IN THE TRADE, BY COURSE OF DEALING OR OTHERWISE. THE SERVICE PROVIDER DOES NOT GUARANTEE THE ACCURACY OF INFORMATION PRESENTED IN THE MATERIALS IN THE SERVICE AND IS NOT RESPONSIBLE FOR INCORRECT DATA PRESENTED THE SERVICE. THE SERVICE PROVIDER AND ITS PERSONNEL ARE NOT RESPONSIBLE, FOR EXAMPLE, FOR THE FINANCIAL OUTCOME OF INVESTMENT DECISIONS MADE BASED ON THE MATERIALS IN THE SERVICE OR FOR ANY OTHER POSSIBLE DAMAGE THAT MAY BE CAUSED BY USING THE INFORMATION DERIVED FROM THE SERVICE. THE SERVICE PROVIDER IS BY NO MEANS RESPONSIBLE FOR DIRECT DAMAGES CAUSED BY 1) SERVICE USAGE OR SERVICE INTERRUPTION, 2) DATA OR INFORMATION DERIVED FROM THE SERVICE OR 3) OTHER CIRCUMSTANCES RELATED TO THE SERVICE. THE SERVICE PROVIDER IS BY NO MEANS RESPONSIBLE FOR THE USER’S INDIRECT DAMAGES (E.G. LOST PROFIT). INDERES’ TOTAL LIABILITY FOR ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY WILL BE LIMITED TO THE AMOUNT YOU HAVE PAID TO INDERES OYJ. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THIS AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. Applicable law and dispute settlement This Agreement shall be governed by Finnish law, with the exception of the conflict rule. Disputes between the parties arising from the Terms and Conditions or otherwise from the use of this Service are primarily settled through negotiation. When you provide us with any feedback, comments or suggestions, you irrevocably assign to us all of your right, title and interest in and to your feedback, comments and suggestions.
